As the result of the increased securitization of real estate and the packaging of pools of loans for sale into the secondary market, mezzanine financing has become very popular in recent years.
Mezzanine financing (or, perhaps more appropriately, mezzanine capital) fills the gap between the first mortgage financing, which usually has a loan-to-value ratio of between 40% and 75%, and the equity participation of the borrowing principals (which is usually no more than 10% of the cost of the project).
Mezzanine financing commonly supplies financing that is equal to 50% to 90% of the cost of the project's capital structure. This type of financing can take several forms.
Most commonly, it will involve extending credit to the partners or other equity holders of a borrower and taking a pledge of such parties' equity interests (including the right to distributions of income), or else taking a preferred equity position that is entitled to distributions (in the form of excess cash flow after debt service) ahead of the borrower's principals.
A combination loan structure may also be utilized, which combines a first mortgage loan with mezzanine financing at an aggregate loan-to-value ratio of 90-95% and contains a shared-appreciation and/or contingent feature or requires an exit fee to be paid by the borrower.

Mezzanine Loans:
The program provides additional funding when first mortgage are at maximum loan amount

Loan Amount:
US$1,000,000 and larger (not including the first mortgage balance)

Term:
Fully amortized over 3-5 years. The first mortgage term will be longer.

Interest Rates:
7% - 11%

Fees:
½% - 1.¼% of the loan amount

Earn-Out Loans:
This program allows you to increase the original loan amount at a future date. The Net Operating Income (NOI) will be reviewed 6-12 months from the initial funding. Earn-out amounts are calculated based on a predetermined DSCR and LTV.

Loan Amount:
US$5,000,000 and larger (including the first mortgage balance)

Term:
7 years & greater

Interest Rates:
The spread for the Earn-out interest rate will be fixed at the time of the initial closing. Spreads will be higher than the permanent loan. The increased interest rate will be blended with the initial first mortgage.

Fees:
¾% - 1.¼% of the total loan amount.
